License Agreement
IMPORTANT - READ CAREFULLY: This SIPRIX VOIP SDK License Agreement (“Agreement”) is a legal agreement between you (either an individual or a single entity) and SIPRIX Technologies Ltd (“Licensor”) for the SIPRIX VOIP SDK, which includes computer software files, samples of source code, utility programs, libraries and “online” or electronic documentation (“Software”).
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.
1. License grant
The Licensor grants the Licensee, who hereby accepts, a non-exclusive, worldwide license to use the Software as outlined in this Agreement, subject to the conditions and terms provided herein. The term “license” in this context includes the following rights:
The right to distribute one copy of Software in conjunction with each copy of Licensee’s Application Program.
The right to make a suitable number of duplicate copies of the Software.
The right to make modifications to any source code provided with the Software.
2. License restrictions
2.1 Limitations. You may not:
Distribute, sublicense, rent, lease, lend, or otherwise transfer the Software to any third party.
Modify, adapt, translate, or create derivative works based on the Software.
Reverse engineer, decompile, or disassemble the Software, except to the extent such activity is expressly permitted by applicable law notwithstanding this limitation.
Reveal the License Keys included with the Software to a third party without the Licensor’s consent
2.2 Proprietary Notices. You must retain all copyright and other proprietary notices in the Software and associated documentation.
3. Intellectual property rights
Ownership. All rights, title, and interest in and to the Software, including all intellectual property rights therein, are and will remain the exclusive property of Licensor. This Agreement does not convey to you any rights of ownership in or related to the Software.
4. Support services
Support. Licensor may provide you with support services related to the Software (“Support Services”). Use of Support Services is governed by the policies and programs described in the user manual, in “online” documentation, and/or other Licensor-provided materials.
5. Termination
Termination. Without prejudice to any other rights, Licensor may terminate this Agreement if you fail to comply with the terms and conditions of this Agreement. In such an event, you must destroy all copies of the Software and all of its component parts.
6. Disclaimer of warranties
Warranties. The Software is provided “AS IS” without warranty of any kind. To the maximum extent permitted by applicable law, Licensor further disclaims all warranties, including without limitation any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Indemnification
Licensee is solely responsible for ensuring the legal use of the Software. Licensee shall defend and indemnify Licensor against any and all claims, including those brought by third parties or Licensee’s employees, arising directly or indirectly from Licensee’s use or operation of the Software.
8. Limitation of liability
8.1 Liability. To the maximum extent permitted by applicable law, in no event shall Licensor or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever arising out of the use of or inability to use the Software.
9. General provisions
9.1 Governing Law. This Agreement is governed by the laws of USA, without regard to its conflict of laws principles.
9.2 Entire Agreement. This Agreement constitutes the entire agreement between you and Licensor with respect to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
9.3 Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in effect.
9.4 Amendments. Licensor reserves the right to amend the terms of this Agreement at any time by reasonable notice, including without limitation by posting revised terms on its website at www.siprix-voip.com. By installing, copying, or otherwise using the Software, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms.
